Terms of Service

1. Parties and Acceptance
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Subscriber" or "you") and Atheir ("we", "us", or "our"), operator of the atheir.com platform in the Kingdom of Saudi Arabia. By registering, accessing, or using Atheir, you agree to be bound by these Terms and all applicable Saudi laws. If you do not agree, do not use the platform.
2. Service Description
Atheir is a SaaS platform that provides:
- WhatsApp Chatbot Trees: tree-structured automated response flows triggered by customer messages.
- AI Smart Reply: AI-powered automated responses generated for incoming conversations.
- Bulk Campaigns: broadcast messaging to WhatsApp contacts.
- Live Chat: agent-based customer support inbox.
- CRM Integration: contact management linked to WhatsApp conversations.
- Auto Reply & Canned Replies: rule-based and templated responses.
- REST API: programmatic access to platform features.
3. Eligibility
You must be at least 18 years old and legally authorized to enter contracts in your jurisdiction. By using the platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Registration
You agree to provide accurate and complete information during registration and to keep it updated. You are solely responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
5. WhatsApp Connection
Atheir connects to WhatsApp using an unofficial API integration. You acknowledge that:
- Use of WhatsApp through third-party tools may be subject to WhatsApp's Terms of Service; you are responsible for compliance with those terms.
- WhatsApp / Meta may limit, restrict, or ban phone numbers that violate their policies. Atheir is not liable for any such action by WhatsApp or Meta.
- Atheir does not guarantee uninterrupted WhatsApp connectivity as Meta may change their platform at any time without notice.
6. Subscription Plans & Pricing
Atheir offers subscription plans billed in Saudi Riyals (SAR), inclusive of 15% VAT as required by ZATCA (Zakat, Tax and Customs Authority). Plan details, features, and pricing are displayed on our website and may be updated with 30 days' notice. Continued use of the platform after a price change constitutes acceptance of the new pricing.
7. Payment Terms
Payments are processed via Paymob. By subscribing, you authorize Paymob to charge your payment method for the applicable subscription fee on the agreed billing cycle. Subscriptions auto-renew unless cancelled before the renewal date. All fees are non-refundable except as described in Section 8.
8. Refund Policy
We offer a 7-day refund window from the date of initial subscription payment, provided you have not substantially used the platform's core features (chatbot flows, AI replies, or bulk campaigns). Refund requests must be submitted to [email protected]. Renewals are non-refundable. We reserve the right to refuse refunds where abuse of the refund policy is detected.
9. Prohibited Uses
You may not use Atheir to:
- Send unsolicited messages (spam) or conduct harassment campaigns.
- Transmit illegal, fraudulent, threatening, defamatory, or harmful content.
- Violate WhatsApp Business Policy or Meta's Terms of Service.
- Violate the Saudi Anti-Cybercrime Law (Royal Decree No. M/17, 1428H) or the E-Commerce Law (Royal Decree No. M/126, 1441H).
- Impersonate any individual, organization, or government entity.
- Collect personal data from recipients without obtaining their proper legal consent.
- Engage in money laundering, terrorist financing, or any activity prohibited under Saudi law.
- Attempt to reverse-engineer, hack, or disrupt the Atheir platform or its infrastructure.
Violations may result in immediate account suspension without refund and may be reported to competent Saudi authorities.
10. Subscriber Obligations
You are responsible for:
- Ensuring all messages sent via Atheir comply with applicable Saudi laws and WhatsApp's policies.
- Obtaining all necessary consents from recipients before messaging them.
- The content of all chatbot flows, automated messages, AI prompts, and bulk campaigns you create.
- Not exceeding the feature limits of your subscription plan.
- Keeping your connected WhatsApp number in good standing with WhatsApp's terms.
11. Intellectual Property
Atheir and all its components, designs, software, and documentation are the intellectual property of Atheir. You are granted a limited, non-exclusive, non-transferable license to use the platform for the duration of your active subscription. You retain ownership of all content (messages, chatbot flows, contacts) you create or upload to the platform.
12. Data Ownership & Processing
You own the data you and your customers generate through the platform. You grant Atheir a limited license to process that data solely for the purpose of delivering the services described herein. See our Privacy Policy for full details on data handling.
13. AI Disclaimer
The AI Smart Reply feature generates responses using AI models. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, approving, or correcting AI-generated messages before or after delivery. Atheir does not guarantee the accuracy, quality, or suitability of AI-generated responses.
14. Service Availability
We target 99% monthly uptime for the Atheir platform, excluding scheduled maintenance (notified 48 hours in advance) and factors beyond our reasonable control including force majeure, WhatsApp/Meta platform changes, and third-party outages. We do not guarantee uninterrupted service.
15. Suspension & Termination
We may suspend or terminate your account without prior notice if you: breach these Terms or applicable law; engage in prohibited uses listed in Section 9; fail to pay subscription fees; or conduct activities that risk the security or reputation of the platform.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
16. Limitation of Liability
To the maximum extent permitted by Saudi law, Atheir shall not be liable for: indirect, incidental, consequential, or punitive damages; loss of profits, data, goodwill, or business opportunities; damages arising from WhatsApp/Meta platform changes or bans; damages resulting from AI-generated content; or service interruptions beyond our reasonable control.
Our total aggregate liability to you shall not exceed the subscription fees you paid in the 3 months preceding the claim.
17. Indemnification
You agree to indemnify and hold harmless Atheir, its affiliates, and personnel from any claims, damages, liabilities, and costs (including legal fees) arising from your use of the platform, your breach of these Terms, content you send through the platform, or your violation of any applicable law or third-party rights.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably within 30 days. If not resolved, disputes shall be submitted to the competent courts in the Kingdom of Saudi Arabia.
19. Changes to Terms
We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the platform after that date constitutes acceptance of the updated Terms.
